Welcome, and thanks for choosing Highline Communications Group LLC ("HCG," "we," "us," or "our"). These Terms & Conditions ("Terms") explain how we work together when you use our websites, hosting, and digital-marketing services (the "Services"). We've tried to keep things plain and fair. If anything is unclear, just reach out — our contact details are at the bottom.
1. Acceptance of Terms
By subscribing to a plan, creating an account, or using our Services in any way, you agree to these Terms. If you're agreeing on behalf of a business, you confirm you're authorized to do so. If you don't agree with these Terms, please don't use the Services.
2. Services & Plans
HCG builds, hosts, and maintains websites for small local businesses and offers optional digital-marketing services such as SEO, social media, and ads management.
- Subscription plans. Our Services are sold as month-to-month subscription plans — currently Presence, Leads, and Growth — plus optional à-la-carte add-ons.
- Free initial build, no setup fee. Your initial website build is free, and there's no setup fee to get started.
- What's included. Each plan describes the features and service levels it includes. We may add to, adjust, or improve what's included from time to time. If we make a material change that reduces what your plan includes, we'll give you reasonable advance notice.
- Month-to-month. There's no long-term contract. Your subscription renews each month until you cancel (see Section 4).
3. Billing, Payments & Auto-Renewal
- Payment processor. Billing is handled securely through Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method.
- Recurring charges & auto-renewal. Subscriptions are billed in advance on a recurring monthly basis and automatically renew each month until canceled. Add-ons are billed as agreed when you order them.
- Price changes. We may change our prices. If a change affects your plan, we'll give you reasonable advance notice before it takes effect. Continuing after a price change means you accept the new price.
- Taxes. Prices don't include taxes. You're responsible for any applicable sales, use, or similar taxes, which we may add to your invoice where required.
- Advertising spend is pass-through. If we manage paid ads for you, your ad spend (money paid to platforms like Google or Meta) is billed directly to you by those platforms and is separate from our management fees.
- Failed payments. If a payment fails, we may retry the charge and may pause or suspend Services until your balance is current.
4. Cancellation & Refunds
- Cancel anytime. You can cancel at any time through your account or billing portal, or by contacting us. There are no cancellation fees.
- Service runs through your paid period. When you cancel, your subscription stays active through the end of the current paid month and won't renew after that.
- No partial-month refunds. Because plans are billed monthly in advance, we don't provide partial-month or prorated refunds, except where required by law.
- What happens to your site. When your subscription ends, hosting and maintenance stop, and your hosted site may be taken offline. You keep your domain and the content you provided, and we'll work with you in good faith to transfer your domain and provide a copy of your content. The website build itself remains HCG's property unless you have purchased it outright or completed a buy-out (see Section 6, "Owning your site").
5. Client Responsibilities
To do our best work, we rely on you to:
- Provide accurate, complete information and respond to reasonable requests.
- Supply the content (text, photos, logos) you want, or approve what we create.
- Have the rights to everything you give us. You confirm you own or have permission to use any content, images, or trademarks you upload, and that they don't infringe anyone else's rights.
- Use the Services lawfully and keep your account credentials secure.
6. Intellectual Property
- What you own. You own your domain name and the content you provide (text, photos, logos). The website itself — the design, build, and code we create — remains HCG's property unless and until you purchase it (see "Owning your site" below). While subscribed, you have full use of your live site.
- What we own. HCG retains all rights to the website we build and to the underlying templates, frameworks, code, design systems, and tools we use. These are not transferred and may be reused for other clients, except as provided under "Owning your site."
- License while subscribed. While your subscription is active and in good standing, we grant you a non-exclusive license to use the HCG-owned website and components that make up your hosted site. This license ends when your subscription ends; your own content and your domain remain yours.
- Owning your site. You may take ownership of your website two ways: (a) a one-time outright purchase, priced by scope (currently $2,200–$6,000; see our site for current pricing); or (b) a member buy-out. The buy-out amount decreases for each month of continuous paid membership, down to a minimum $250 processing fee, reaching that minimum after roughly 24 months; within the first 6 months of membership, the buy-out is at or near the outright price. Exact amounts are confirmed in writing and are subject to change. Upon our receipt of full payment, HCG transfers ownership of your final website files to you; HCG's reusable templates, frameworks, and tools are not included in any transfer.
- Our brand. Our name, logo, and branding remain ours.
7. Acceptable Use
You agree not to use the Services to publish or distribute anything illegal, harmful, deceptive, or that infringes others' rights — including malware, spam, hateful or harassing content, or anything that breaks applicable laws. We may remove violating content or suspend Services to protect you, us, or others.
8. Third-Party Services
Our Services rely on trusted third-party providers — including Stripe (payments), Google and Meta (advertising), and our hosting partners. Your use of those services is also governed by their terms and privacy policies, and we're not responsible for their actions, outages, or decisions.
9. Disclaimers & Limitation of Liability
- "As is." The Services are provided "as is" and "as available." We can't promise they'll be uninterrupted or error-free.
- No guarantee of marketing results. Digital marketing depends on many factors outside our control. We do not guarantee specific outcomes such as rankings, traffic, leads, sales, or ad performance.
- Limitation of liability. To the fullest extent allowed by law, HCG won't be liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability for any claim is limited to the amount you paid us during the three (3) months before the claim arose.
10. Indemnification
You agree to defend, indemnify, and hold harmless HCG and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of the content you provide, your use of the Services, or your violation of these Terms or applicable law.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to let you know (for example, by posting updated Terms with a new effective date or emailing you). Continued use after changes take effect means you accept the updated Terms.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Any dispute relating to these Terms or the Services will be handled in the state or federal courts located in Colorado, and we both consent to that jurisdiction. Before any formal action, we encourage you to contact us first so we can try to resolve things directly and in good faith.
